1. Introduction and Acceptance

Important Legal Agreement

These Terms of Service constitute a legally binding agreement between you and InvoiceNow biz - F.Z.C. regarding your use of our e-invoicing compliance solutions. By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

We are a specialized e-invoicing compliance provider licensed in the UAE and operating across UAE and Singapore markets. Our services include ASP (Accredited Service Provider) solutions for UAE Federal Tax Authority compliance and IRSP (InvoiceNow-Ready Service Provider) solutions for Singapore IRAS compliance.

To use our services, you must:

6.2 Business Continuity & Security Certifications

As required for UAE ASP accreditation, we maintain the following certifications:

Information Security Management Systems - Required for ASP operations

Note: These certifications ensure our ability to maintain service continuity and protect sensitive e-invoicing data according to international standards and UAE MoF requirements.

Important Notice

While we provide compliance tools and guidance, ultimate regulatory compliance remains your responsibility. You must maintain accurate business records and seek professional tax advice when needed.

7. Limitation of Liability and Insurance Coverage

7.1 Professional Insurance Coverage

As required by UAE Ministry of Finance regulations for ASP accreditation, we maintain comprehensive insurance coverage including:

Professional Indemnity

Coverage for professional negligence, errors, and omissions in service delivery

Cyber Fraud Insurance

Protection against cyber attacks, data breaches, and digital security incidents

Crime Insurance

Coverage for financial crimes, fraud, and employee dishonesty

Note: All insurance policies are issued within the UAE as required by MoF regulations and provide coverage specifically for e-invoicing service provider activities. We also maintain ISO 22301 Business Continuity Management certification as required for ASP accreditation.

7.2 Liability Limitations

Notwithstanding our comprehensive insurance coverage, and to the maximum extent permitted by law, our total liability shall not exceed:

Annual Limit

The total fees paid by you in the 12 months preceding the claim

Single Incident

AED 500,000 maximum per occurrence

Insurance Coverage

Subject to insurance policy terms and coverage limits

7.3 Insurance Claims Process

In the event of a covered incident, the following process applies:

Our insurers will assess coverage and liability

Claims handled according to insurance policy terms

7.4 Excluded Damages

  • • Indirect, consequential, or punitive damages
  • • Lost profits beyond direct service interruption
  • • Business interruption not covered by our insurance
  • • Regulatory penalties imposed on your business
  • • Damages arising from your non-compliance with our instructions

8. Termination

8.1 Termination Rights

  • • Material breach (30 days notice to cure)
  • • Insolvency or bankruptcy
  • • Repeated minor breaches
  • • As specified in service agreements

8.2 Data Transition

9. Dispute Resolution
